Merchant Agreement

Merchant Agreement (Voucher / Deal / Package Sellers)

This Merchant Agreement (“Agreement”) is entered into between:


Intecbean Pte. Ltd., a company incorporated in Singapore, operating the justweb.ai platform (“Platform”, “justweb.ai”, “we”, “us”, “our”), and The merchant registering, listing, or selling vouchers, deals, or packages on justweb.ai (“Merchant”, “you”, “your”).


By registering as a merchant or listing any offer on justweb.ai, you agree to be bound by this Agreement.


1. Platform Role

  • justweb.ai operates as an online intermediary platform.
  • The Platform does not own, supply, or provide the Merchant’s products or services.
  • The Merchant is the seller of record and is solely responsible for:
  • Fulfilment of vouchers or packages
  • Product or service quality
  • Customer service and redemption

2. Merchant Obligations
The Merchant agrees to:

  • Honour all valid vouchers and deals sold on the Platform
  • Deliver services or products exactly as described
  • Provide clear usage terms, validity periods, and restrictions
  • Respond to customer enquiries and complaints promptly and fairly
  • Comply with all applicable laws, regulations, and platform rules

Failure to meet these obligations may result in enforcement actions by the Platform.


3. Platform Rules & Compliance

  • Merchants must comply with all justweb.ai platform rules, policies, and guidelines, including the Refund Policy.
  • Merchants must comply with the Merchant Rules & Code of Conduct published on justweb.ai, as amended from time to time.
  • The Platform reserves the right to update rules and policies at any time.
  • Continued use of the Platform constitutes acceptance of updated rules.

4. Service Fees

  • The Platform charges a 10% service fee on the total value of each voucher, deal, or package sold.
  • Service fees are non-refundable, including in the event of customer refunds.
  • Payment processing fees may be deducted separately where applicable.

5. Merchant Payouts

  • Merchant payouts are held for a minimum of 30 days from the date of each sale.
  • Payouts are subject to verification, fraud checks, and dispute review.
  • The Platform reserves the right to:
  • Delay, withhold, or adjust payouts
  • Deduct refunds, chargebacks, penalties, or fees from pending or future payouts
  • No interest is payable on held balances.

6. Refunds & Customer Protection (CRITICAL)

  • Merchants are required to follow justweb.ai refund rules.
  • Merchants are expected to first attempt to resolve issues directly with customers in good faith.
  • If a customer complaint is escalated to justweb.ai and:
  • The Merchant fails to respond
  • The Merchant refuses reasonable resolution
  • The service is not delivered as promised
  • There is evidence of misrepresentation, misconduct, or non-fulfilment

The Platform reserves the absolute right to issue a refund to the customer, at its sole discretion, in order to protect customers and platform integrity.

  • Any refund issued by the Platform:
  • May be deducted from the Merchant’s pending or future payouts
  • Does not include refund of the Platform’s 10% service fee
  • May include deduction of payment processing or chargeback fees
  • Repeated complaints or unresolved disputes may result in:
  • Payout delays
  • Temporary suspension
  • Permanent removal from the Platform

7. Chargebacks & Fraud

  • Merchants are responsible for losses arising from:
  • Chargebacks
  • Fraudulent transactions
  • Policy violations
  • The Platform may recover such losses from Merchant balances or future payouts.
  • Suspected fraud may result in immediate suspension.

8. Intellectual Property

  • Merchants retain ownership of their own trademarks, logos, and content.
  • Merchants grant the Platform a non-exclusive, royalty-free licence to use Merchant content for:
  • Listing
  • Marketing
  • Promotion
  • Platform operation
  • The Platform may showcase Merchant offers for promotional purposes.

9. Suspension & Termination
The Platform may suspend or terminate Merchant access immediately, without prior notice, if:

  • Fraud or abuse is suspected
  • There are repeated customer complaints
  • The Merchant breaches this Agreement or platform rules
  • Legal or regulatory risks arise

Termination does not affect outstanding refund, chargeback, or indemnity obligations.


10. Limitation of Liability
To the maximum extent permitted by law:

  • The Platform is not liable for Merchant business losses
  • The Platform is not liable for indirect, incidental, or consequential damages
  • The Platform does not guarantee sales, revenue, or customer demand

11. Indemnity
The Merchant agrees to indemnify and hold harmless the Platform from any claims, losses, or liabilities arising from:

  • Merchant products or services
  • Failure to honour vouchers
  • Customer disputes
  • Legal or regulatory breaches

12. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Singapore.The parties submit to the exclusive jurisdiction of the courts of Singapore.


13. Amendments
The Platform reserves the right to amend this Agreement at any time. Continued use of the Platform constitutes acceptance of updated terms.
